Subject of the Agreement
Article 2
The subject of the agreement is that VeeVip enables the Carrier, during the subscription, to use the Platform and to view and take on transfer requests received through it, and that the Carrier pays the subscription fee in return. VeeVip is not a party to the transport service; all rights and obligations arising from the transport contract between the Carrier and the passenger belong to the Carrier.
Access to the Platform is provided through the VeeVip Partner mobile app and other electronic tools provided by VeeVip.
Subscription Fee and Payment
Article 3
- The subscription fee, scope and period (monthly or yearly) are notified to the Carrier in writing before the subscription is approved; it is clearly stated whether the fee includes VAT.
- The fee is paid in advance at the start of each period and VeeVip issues an invoice (e-invoice or e-archive invoice).
- For unpaid subscriptions, VeeVip may suspend access to the Platform until payment is made.
- VeeVip takes no commission or share of the fares the Carrier collects from passengers.
- VeeVip may grant a free period of use without a subscription fee. The switch to the paid period is notified to the Carrier at least 30 days before it takes effect.
- When the subscription requirement is applied, Carriers with a running subscription can accept requests; Carriers without a subscription or whose subscription has expired can only view requests.
- The subscription end date is shown to the Carrier in the VeeVip Partner app.
Term and Renewal
Article 4
The subscription is concluded for the selected period and renews for the same period unless the Carrier cancels before the end of the period. Fee changes are notified to the Carrier at least 30 days before they take effect; if the Carrier does not accept the new fee, it may end the subscription at the end of the period.
Carrier's Obligations
Article 5 — Road Transport Law No. 4925
- Holding a valid D2 authorization certificate throughout the subscription and using only vehicles registered under it in the service
- Ensuring that the vehicles' inspection, compulsory motor third-party liability insurance and compulsory seat personal accident insurance for road passenger transport are valid
- Ensuring that drivers hold a valid driving licence, SRC certificate and psychotechnical assessment certificate
- Informing VeeVip immediately of any change, cancellation or suspension of its documents
- Clearly informing the passenger of the exact price, vehicle and cancellation terms before the journey starts, collecting the fare and issuing a document compliant with the regulations (invoice or receipt)
- Performing the transport service in accordance with the relevant legislation, traffic rules and consumer legislation
- Using the passenger information passed to it only for the relevant transfer, keeping it confidential and protecting it in accordance with Law No. 6698
- Not allowing third parties to use its Platform account
VeeVip's Obligations
Article 6
- Operating the Platform with reasonable care and security measures
- Forwarding requests to Carriers suited to the nature of the request
- Providing technical support to the Carrier
VeeVip does not undertake that a specific number or type of requests will be received.
Personal Data
Article 7
The Carrier is a separate data controller, for its own transport activity, with regard to the passenger data passed to it. VeeVip processes the personal data of the Carrier and its drivers as described in the KVKK Privacy Notice.
Suspension and Termination
Article 8
- The Carrier may cancel its subscription at any time; cancellation takes effect at the end of the paid period.
- If the D2 authorization certificate or compulsory insurance becomes invalid, false documents are submitted, serious complaints are received from passengers or this agreement is breached, VeeVip may immediately suspend the Carrier's access or terminate the agreement.
- VeeVip may terminate the agreement with 30 days' prior notice.
- If the carrier fails to go to the passenger for an accepted request, Article 13 applies.
Refunds
Article 9
- If the Carrier cancels, the fee for the paid period is not refunded; the Carrier continues to use the Platform until the end of the period.
- If VeeVip terminates the agreement for a reason not attributable to the Carrier or permanently closes the Platform, the fee for the unused days is refunded within 14 days.
- No refund is made where termination is due to the Carrier's breach of the agreement.
- If points are reset to zero, the account is suspended or the agreement is terminated under Article 13, subscription fees already paid are not refunded and the suspension period is not added to the subscription period.
Right of Withdrawal
Article 10
As the Carrier concludes this agreement within the scope of its commercial or professional activity, it is not considered a consumer under Consumer Protection Law No. 6502 and the Distance Contracts Regulation and has no right of withdrawal. Ending the subscription is subject to Articles 8 and 9.
Liability
Article 11
VeeVip is not liable for the performance of the transport service, damage the Carrier causes to passengers or third parties, or the Carrier's tax obligations. VeeVip's liability arising from the Platform is limited to the total subscription fees paid by the Carrier in the last 12 months, except in cases of intent and gross negligence.
Accepting Requests and Points System
Article 12
- Requests are shown in the VeeVip Partner app according to the provinces the Carrier serves and the capacity of its vehicle; the Carrier who accepts a request first takes it on.
- The passenger's contact details are shown to the Carrier after the request has been accepted; the Carrier's name, company name, vehicle, licence plate and phone number are also sent to the passenger.
- Every carrier starts with 100 points. If an accepted request is released, points are deducted according to the time left before the trip: 10 points with more than 48 hours left, 20 with 12–48 hours, 35 with 2–12 hours and 50 with less than 2 hours. If the carrier does not go to the passenger at all, the points are reset to zero and the sanctions in Article 13 apply.
- Each completed trip earns 2 points; the score cannot exceed 100. No points are deducted for changes and cancellations caused by the passenger.
- New requests are shown in order of points: Carriers with 100 points see a request immediately; for every 5 points below 100 the request is shown 1 minute later (e.g. 92 points after 1 minute, 90 points after 2 minutes).
- A request that has been given back is reopened to the other Carriers and is not shown again to the Carrier who gave it back.
- A Carrier whose points have reached zero can no longer see or accept new requests. The Carrier may object to a points deduction by e-mail or WhatsApp; after the objection is reviewed, the points may be corrected and access may be reopened.
No-Show Sanctions
Article 13
- Failing to arrive at the passenger's pick-up point at the pick-up time for a request that was accepted and not released (a “no-show”) is a serious breach of the agreement.
- For every breach the carrier's points are reset to zero; the carrier can no longer see or accept new requests.
- For every breach the carrier pays VeeVip a contractual penalty of TRY 10,000 (ten thousand Turkish lira). VeeVip may change this amount by notifying the carrier at least 30 days before the change takes effect; the amount in force on the date of the breach applies.
- Once the contractual penalty is paid, the carrier's account is reopened with 50 points.
- For a second breach within the last 180 days, the account is also suspended for 30 days in addition to the penalty. When the suspension ends and the penalty has been paid, the account is reopened with 50 points.
- For a third breach within the last 180 days, VeeVip terminates the agreement for just cause; penalty debts already incurred are not affected by the termination.
- Subscription fees already paid are not refunded when points are reset, the account is suspended or the agreement is terminated.
- In documented cases beyond the carrier's control, such as an accident or a sudden health problem, VeeVip may lift the sanction. The carrier must inform VeeVip and, if possible, the passenger as soon as it learns that it cannot carry out the request.
- Payment of the contractual penalty does not exclude separate claims for compensation of damage suffered by the passenger or VeeVip.
Job Confirmation and On-the-Way Notice
Article 14
- The carrier must confirm each accepted request with the “Confirm job” button in the VeeVip Partner app no later than 2 hours before the pick-up time. Requests accepted less than 3 hours before pick-up count as confirmed at the moment they are accepted.
- The carrier must send the “I'm on my way” notice in the app when setting off and no later than 30 minutes before the pick-up time. This notice is passed on to the passenger.
- If the confirmation or the on-the-way notice is not given in time, VeeVip contacts the carrier and the passenger to check the situation. If the carrier cannot be reached or cannot carry out the request, VeeVip may give the request to another carrier; in that case the request counts as released and the point deduction in Article 12 applies, or Article 13 if it turns out that the carrier did not go to the passenger.
- Acceptance, confirmation, the on-the-way notice and completion of a request are recorded with a timestamp; these records are used as evidence in disputes.
Liability in Disputes with Passengers
Article 15
- The carrier who accepted the request agrees that all legal, criminal and financial liability arising from any dispute with the passenger — including failure to perform the transport or to perform it properly, delay, accident, injury, loss of or damage to belongings, fares, cancellation and the protection of personal data — rests solely with the carrier.
- Compensation, administrative fines, court costs and attorney fees that VeeVip has to pay because of claims, complaints or lawsuits on these grounds are recovered from the carrier; the carrier pays these amounts upon VeeVip's first written request.
- At the request of the passenger or the competent authorities, VeeVip may share the identity, contact and vehicle details of the carrier who accepted the request and the related Platform records.
Disputes and Entry into Force
Article 16
This agreement is governed by Turkish law; the İzmir courts and enforcement offices have jurisdiction over disputes. The parties accept that VeeVip's electronic records may be used as evidence in disputes. The agreement enters into force on the date the Carrier approves it electronically.
The carrier confirms in the VeeVip Partner app, by ticking the relevant boxes, that it has read this agreement and the KVKK Privacy Notice; without this confirmation the application cannot be sent and no request can be accepted. When the agreement is updated, no request can be accepted until the new text has been confirmed again in the app. The date of confirmation and the version of the agreement are recorded.
